Notre Dame Association of Retired Faculty
The Notre Dame Association of Retired Faculty ND ARF (the Association) was formed as a University-Recognized Employee Resource Group in 2019 under the office of the University Provost. All retirees from the faculty who choose to may become members of the ND ARF.
Mission
The mission of the ND ARF is to foster community and common activity among the retirees of the faculty. It also seeks to represent the interests of these retirees when necessary and appropriate. The Association sponsors an annual reception to welcome current and new retirees to the group and collaborates with Human Resources in planning programs for luncheons, held at least once each semester, for all retired faculty members and their spouses. In addition, through a regularly maintained website, the ND ARF establishes a retired liaison network that communicates important news items and serves as a locus for recognizing retiree contributions to the University, the professions, and the larger community. It provides information on social events, lectures, benefits, and other information of interest to retired faculty.
Bylaws:
I. Definitions:
a. Faculty: faculty refers to the regular faculty as defined by Article IV/Section I/Subsection(a) of the Academic Articles of the University of Notre Dame
b. Board of Directors (Board): The Board consists of the two currently serving representatives of the emeritus faculty on the Faculty Senate and ten at-large members elected by the members of ND ARF. All members of the board are voting members.
c. Officers: The officers are the President, Vice-President, Secretary, Treasurer, and President Emeritus.
II. Election of Members and Terms of Service
a. All Officers are elected by the Board from current members of the Board.
b. The President serves a one-year term. At the end of the one-year term as President, the President becomes President Emeritus for an additional one-year term.
c. The Vice-President serves a one-year term and, during that term, also acts as the President-elect. The Vice-President assumes the office of President at the completion of their one-year term as Vice-President, or sooner if the office of President is vacated for any reason.
d. The Secretary and Treasurer each serve for a two-year term.
e. A term is defined as beginning on July 1 of the year and continuing until June 30 of the following year.
f. Elections for new or resigning members will normally be held in May.
g. The Faculty Senate members are nominated and elected through a process conducted by the Office of the Provost. Senators serve a three-year term as defined by the Academic Articles and Bylaws of the Faculty Senate.
h. The ten at-large members are elected for staggered four-year terms. Upon a vacancy or vacancies occurring among them, the Board will call for and seek nominations from the eligible members of the Association. The nominations will be presented to the Provost’s office, which will conduct an election for the open seat(s) among the members of the Association. If an at-large member leaves the Board for any reason, a new member will be elected. If an at-large member leaves the Board before the completion of their four-year term, the newly elected member will be elected to complete the remainder of the existing member’s term.
III. Officer Duties
a. The President speaks for the Association and otherwise represents it. The President has the responsibility to call, organize, and conduct meetings of the Board. The President has the primary responsibility for seeing that the Bylaws are followed, for overseeing the website of the Association, and for appointing members of the Board and/or subcommittees to perform necessary tasks.
b. The Vice-President assists the President with the responsibilities of that office.
c. The Secretary is to record minutes of the meetings and to circulate those minutes for approval by the Board at the subsequent meeting. The Secretary will also handle correspondence at the direction of the President.
d. The Treasurer is responsible for accounting for funds allocated by the Provost’s Office or otherwise attained. Following the instructions of the Board, the Treasurer will provide payment arrangements for any expenses or debts incurred by the Association. The Treasurer will report on the account of the Association at the request of the Board, or at least twice in a fiscal year, a fiscal year being the same as that of the University of Notre Dame.
e. The President Emeritus has no official duties but is charged with assisting the President and Board with institutional memory of the Board’s activities.
IV. Essential Operating Rules
a. The Board will normally meet once every three months, in July, October, January, and April.
b. The time and place of these regular meetings will be set each year for the upcoming year during the July meeting. Reminders will be announced at least one week prior to the meeting.
c. Should additional meetings be necessary, the President shall seek to find a date and time that allows for maximum participation. The time and place of any additional meeting will normally be announced at least one week in advance of the meeting.
d. If at least three members of the Board request a meeting and the President is unable or unwilling to call a meeting, the Vice-President shall schedule the requested meeting in compliance with rule IV(c).
e. Eight members of the Board shall constitute a quorum of the Board. A quorum is necessary before the Board can conduct any official business.
f. Matters are determined by a simple majority of the quorum. Any member may request that voting be via secret ballot. In the event of a tie vote, the President’s vote is determinative.
g. A motion to amend the Bylaws or to remove any officer requires a two-thirds vote of the members present.
